Changes in the Organizational Structure
Within the year 2012 “Alternative Distribution Channels Strategy” and “Alternative Distribution Channels Operations” Divisions have been
integrated under “Alternative Distribution Channels Division”; while “Information Technologies Architecture and Security” and “Information
Technologies System and Service Management” Divisions have been integrated under “Information Technologies Division”.

Information about the Meetings of the Board of Directors
In our bank, the Board meetings are generally held at least once a month, yet interimmeetings might be held in case of need. Meeting
agendas are prepared in accordance with the proposals of Head Office departments. Moreover, various reports requested by the Board of
Directors from the Bank management and off the agenda topics put forward by the Board members are discussed during the meetings.
Meeting agenda and related documents are distributed to the Board members and auditors in a particular time before the meetings.
13 Board meetings were held in 2012 and full participation is achieved at the meetings. As at year-end 2012, a total of 470 files were
reviewed, which split as 407 files for loan underwriting and 63 files on other issues regarding loans; based on the work carried out by
convening meetings or by individual review and signing of the file by each Board Member, which resulted in 258 loan decisions. A total of
327 files were reviewed on non-credit matters and 327 resolutions were taken. Consequently, 748 Board resolutions were made in 2012,
including those that were passed during the meetings.
